1. PURPOSE

The present general terms and conditions of sale (GTC) are intended to define the terms of sale between Placemed and the buyer for the products sold directly by Placemed on the marketplace. They govern the contractual relationships between Placemed and the buyer and prevail over any other document. Any order placed implies the buyer's unreserved adherence to these GTC, except for express derogation accepted in writing. Any order placed is final and cannot be canceled in whole or in part without the written agreement of Placemed.

2. PRODUCTS AND PRICES

The prices of our products are displayed in euros, excluding taxes and delivery charges. The delivery charges are indicated before the validation of the order and are the responsibility of the buyer. Placemed reserves the right to modify its prices at any time, without notice. However, any order will be invoiced based on the prices displayed at the time the buyer validates their order. In the event of a price change, the new prices will immediately apply to future orders.

3. DESCRIPTIONS & IMAGES

The descriptive texts of the products presented on Placemed are provided for information purposes only and do not constitute contractual elements. We strive to ensure the accuracy of this information, but typographical errors or minor variations in the presentation of products may occur. These variations or typographical errors shall not engage the responsibility of Placemed. Similarly, the images of the products, although representative, are not contractual and are intended to give a general idea of the product without guaranteeing an exact match in terms of color, size, or other specific characteristics.

4. ORDER

The buyer may place their order via the Placemed online platform, or by any other means that Placemed will make available. The order will only be considered valid after validation of its payment. Placemed reserves the right to refuse any order from a buyer with whom there exists a dispute relating to the payment of a previous order. Moreover, for certain specific items, Placemed reserves the right to refuse orders from individual customers, these products being limited exclusively to qualified health professionals.

5. PAYMENT

Payment of orders on Placemed is made in euros. The buyer can choose from various secure payment methods: credit card, bank transfer, or any other means of payment made available by Placemed. The available payment options are regularly updated and displayed on the platform. The total amount of the order is due at the time of placing the order. The buyer guarantees Placemed that they have all the necessary authorizations to use the selected payment method. Placemed takes the security of transactions very seriously and uses secure electronic payment systems to protect payment information and financial transactions.

6. DELIVERY

6.1. Delivery is made to the address indicated by the buyer at the time of the order. The announced delivery times are indicative and not guaranteed. Exceeding these times cannot give rise to retention, compensation, cancellation of the order, or refusal of the goods.
6.2. Placemed is released from the obligation to deliver in cases of force majeure or unforeseen events such as transport interruptions or delays, shortages of raw materials, or any other circumstance affecting our activity or that of our suppliers.
6.3. The goods travel at the risk of the buyer, regardless of the mode of transport. Upon receipt, the buyer must check the condition of the goods and report any anomalies to the carrier with clearly stated reservations on the delivery slip. Generic reservations such as "subject to unpacking" are not valid.
6.4. In case of non-conformity, loss, damage, or theft, the buyer must make the necessary observations and notify their reservations by registered letter with acknowledgment of receipt or extrajudicial act to the carrier within three days from receipt, in accordance with Article L.133-3 of the Commercial Code. A copy of this notification must be sent to Placemed within the same time frame.

7. RETURNS AND REFUNDS

7.1. In accordance with Article L. 221-3 of the French Consumer Code, the right of withdrawal does not apply to contracts concluded between professionals and suppliers for needs related to their professional activity. Consequently, professional buyers do not have a right of withdrawal for purchases made from Placemed. Any return or refund within the context of B2B transactions will be handled on a case-by-case basis, in accordance with mutual agreements established between Placemed and the professional buyer.
7.2. In accordance with consumer protection legislation, individual buyers have a period of 14 days from the receipt of their order to return products that do not suit them. To make a return, the buyer must obtain a return slip and written authorization from Placemed.
7.3. No return of merchandise is accepted unless previously authorized in writing by us. If a return is authorized, the return costs remain the responsibility of the buyer, and the products must be returned in their original packaging and in perfect condition. Placemed commits to refunding the buyer as soon as possible, and at the latest within 30 days following the receipt of the returned products.

8. TRANSPORT

The goods travel at the risk and peril of the recipient, notwithstanding the retention of title clause. Regardless of the recipient (and the terms of the sale), delivery is deemed "completed" as soon as the parcels are taken over by the carrier. They travel under his responsibility even if sent free of charge, and it is up to the buyer to approve or not the carrier by signing the transport receipt without or with precise reservations. The buyer must check the conformity of the delivered or collected goods before signing any delivery document. In the event of finding anomalies, the buyer will indicate their reservations directly on the delivery document, followed by their signature. In the case of serious anomalies (torn, opened, missing, or damaged products...), the buyer will refuse the parcel and specify the reasons for refusal on the delivery document. This verification is considered to have been carried out once the buyer, or any person authorized to receive the parcel on their behalf, has signed the delivery document.

9. WARRANTIES

9.1. The warranties displayed on the products sold directly by Placemed are those provided by the manufacturers or suppliers. These warranties are specific to each product and determined by the respective manufacturer or supplier.
9.2. Warranty Details: For each product offered by Placemed, detailed information about the warranty, including duration, scope, and conditions, are established in accordance with the terms defined by the manufacturer or supplier. This information is accessible on the product sheets of our marketplace.
9.3. Legal Warranty of Conformity and against Hidden Defects: In addition to the specific warranties of manufacturers and suppliers, all products sold by Placemed are also covered by the legal warranty of conformity and the warranty against hidden defects, in accordance with French legislation.
9.4. Limitations and Exclusions: It is important to note that some warranties may exclude damages resulting from improper use, negligence, or unauthorized modifications of the product. Consumable products or products for single use may not be covered by certain warranties.
9.5. Warranty Claim Procedure: In case of a defect or problem with a product, the buyer must contact Placemed to initiate the warranty claim process. Placemed will provide the necessary instructions to proceed with the claim in accordance with the warranty conditions of the manufacturer or supplier.

10. MODIFICATION OF THE GTC

Placemed reserves the right to modify and update the General Terms and Conditions of Sale (GTC) at any time in order to reflect changes in our operations, the market, or to comply with legal or regulatory obligations. Any update will be published on our site with the date of the last modification clearly indicated.
